Set up in Saudi Arabia from your Bahrain company.

Alliant Co. sets up Saudi companies for Bahraini businesses from Dammam, 45 minutes across the causeway. The route depends on one question: if your Bahrain company is 100% owned by GCC nationals, it registers much like a Saudi company; if any owner is non-GCC, the investment is registered with the Ministry of Investment first.

What setting up from Bahrain actually involves

Eight steps, in order. The Bahrain-specific part is step 1, and it is simpler than for most countries: Bahrain and Saudi Arabia are both in the Apostille Convention.

01

Documents (in Bahrain)

Shorter than embassy legalisation

Commercial Registration extract, Memorandum of Association, latest audited financial statements, a board resolution and passports: notarised where required, apostilled in Bahrain, then translated into Arabic. No Saudi embassy legalisation is needed.

02

Investment registration

3–10 business days

Only if any owner is non-GCC. A Bahrain company 100% owned by GCC nationals usually skips this step.

03

Name reservation

Same day to 3 days

Your Saudi trade name, checked against existing registrations.

04

Articles of Association

1–3 days

Drafted, notarised and published.

05

Commercial Registration

1–7 business days

Issued with the company's unified number.

06

National Address

1–2 days

Needs a real address in the Kingdom.

07

Portal activations

3–7 days

ZATCA, GOSI, Qiwa, Muqeem and the Chamber of Commerce.

08

General Manager iqama

1–3 days

Once the GM is in the Kingdom. Plan early who that will be.

Most foreign investors are operating in Saudi Arabia within two to three months. For Bahraini companies, the apostille usually shortens step 1.

What's included, and what it depends on

The same fixed-quote formation service we run for every foreign investor. We tell you exactly which documents to apostille in Bahrain and check them before anything is filed, so problems are caught before filing, not after.

Government fees

Last verified: September 2026

These are the fees paid to Saudi authorities, not to us. Ranges reflect activity, entity type and city. Verified September 2026. We re-check them quarterly and date this table.

ItemFee
Investment registration (MISA)Currently suspended. See note
Commercial RegistrationSAR 1,200 – 2,000
Chamber of Commerce membership (annual)SAR 2,000 – 5,000
Municipal licence (Balady)SAR 500 – 5,000
Articles of Association, notarised and publishedSAR 500 – 3,000
Company seal and stationerySAR 200 – 500
Typical first-year government totalSAR 4,400 – 15,500
Why is the MISA fee suspended?

A note on the MISA fee.

You'll find providers quoting SAR 2,000 for the investment licence plus SAR 10,000 and SAR 60,000 for Investor Relations subscriptions. Those figures come from the 2022 Service Manual and were suspended under the investor-facilitation package. The fee is currently under Ministry review, so we don't quote a number we can't stand behind; we confirm the live position with MISA when your file is prepared. If someone quotes you the old figures, ask them when they last checked.

Your Bahrain company is owned by GCC nationals.

If every owner, through the whole ownership chain, is a GCC national, your company is treated much like a Saudi one for most activities: no investment registration, and zakat at 2.5% instead of 20% income tax. A single non-GCC shareholder removes that, so we check the chain first.

Your Bahrain company has non-GCC owners.

Bahrain allows full foreign ownership in many sectors, so many Bahraini companies have non-GCC owners. The investment is registered with the Ministry of Investment first. For services that is routine. For trading, the Ministry's Investor Guide sets SAR 30 million capital for 100% foreign ownership, so we look at a Saudi distributor, a service entity or a Saudi partner before you commit.

Why us

Foreign-owned Saudi company, the same structure you're building.

We are a foreign-owned company in Saudi Arabia ourselves. We went through investment registration, Commercial Registration, ZATCA, SASO and SABER as the company, not as the consultant.

  • We are a foreign-owned company in Saudi Arabia ourselves: investment registration, CR, ZATCA, SASO/SABER
  • In-house PRO, bookkeeping, and VAT, zakat and income tax filing after the CR
  • Dammam office, 45 minutes from Bahrain across the King Fahd Causeway
What we won't claim:We won't tell you a 100% foreign-owned trading company can open without the capital and commitments the Ministry of Investment requires, or that the GCC route applies before we have checked every shareholder.

Alliant Co. is a foreign-owned Saudi company registered in Dammam, CR 7003521841, established 2016, providing company formation, PRO services, bookkeeping and tax compliance in Saudi Arabia.

Setting up in Saudi Arabia from Bahrain: common questions

Yes, for most activities. If the Bahrain company is 100% owned by GCC nationals, it is treated much like a Saudi investor. Otherwise it registers the investment with the Ministry of Investment first.
Not if every owner through the ownership chain is a GCC national, for most activities. If any owner is non-GCC, the investment is registered with the Ministry of Investment. What used to be called the MISA licence is now investment registration.
Yes, but if any owner is non-GCC, the Ministry of Investment's Investor Guide (June 2026) requires SAR 30 million capital for 100% foreign-owned trading, or SAR 26,666,667 with a Saudi partner holding at least 25%. Many traders start with a Saudi distributor or a service entity instead.
Usually the Commercial Registration extract, Memorandum of Association, latest audited financial statements, a board resolution approving the Saudi company, and passports of the owners and the general manager. Each is notarised where required, apostilled in Bahrain, then translated into Arabic.
Yes. Bahrain has been in the Apostille Convention since 2013 and Saudi Arabia since December 2022, so an apostille replaces Saudi embassy legalisation.
An LLC limits the Bahraini parent's liability and is the most common route. A branch is the same legal entity as the parent, so the parent carries its obligations directly. We compare both against your activity before you file.
